DAYTON CHINESE LANGUAGE SCHOOL
2002 Amendments to DCLS By-laws and School Operations and Regulations
- Change all references of Board of Trustees to Board of Directors in the Bylaws of Dayton Chinese Language School (DCLS), 1988.
- Change all references of Council to Board of Directors in the Amendment to DCLS School Operations and Regulations, 1996.
ARTICLE IV BOARD OF DIRECTORS
Section 1. Qualification and Election of the members of the Board
- The eligible members of the Board of Directors are:
- Representative of the Student Parent Association
- Chairman of the DACA (Dayton Association of Chinese Americans) Culture Center
- Incumbent Principal of the Dayton Chinese Language School
- Past Principal and parent of currently enrolled students of DCLS (3 to 7 members)
- An honorary and permanent member of the board is the 1st Principal and Founder of DCLS, Molley Chuang
The number of Board members shall be no less than six.
The term of office for all members is indefinite.
The members of the Board shall be elected at the annual meeting in May each year. Qualified members may be reelected.
Board Officers (Chairman, Vice-Chairmen) shall be chosen by members of the Board at the annual meeting each year in normal circumstances or at the next Board meeting when any of these offices became vacant unexpectedly.
Section 4. Meetings of the Board of Directors
At least three meetings of the Board of Directors shall be held each year. A regular Board meeting shall be held in the 3rd week of each school term. At least half of the total Board members should be present in each meeting. Meeting minutes shall be kept by the secretary and made available for review by school members and regulatory agencies.
Section 6. Authority and Responsibility
Change the language for the responsibilities in the following paragraphs:
1. To explore and raise resources, set goals and strategies, and establish policy and guidelines for the long-term development of the school.
2. To provide consultation and supervision to DCLS management team concerning budget, programs, services, and operation matters. The school officials are fully empowered by the Board of Directors to run the day-to-day operations of the DCLS.
5. To approve an annual school budget.
With the power given by the undersigned, the above amendments will take effect on January 15, 2003.
